145FinancesFiscal Year

The fiscal year of this Club shall extend from July 1st to June 30th. The payment of dues to Rotary International shall be divided into two (2) semiannual periods extending from July 1st to December 31st, and from January 1st to June 30th. The payment of per capita dues and RI official magazine subscriptions shall be made on July 1st and January 1st of each year on the basis of the membership of the Club on those dates.

361Method of Electing MembersElection If No Objection

If no written objection to the proposal, stating reasons, is received by the Board from any Member (other than honorary) of the Club within seven (7) days following publication of the information about the prospective Member, that person shall be considered to be elected to membership. If any such objection has been filed with the Board, it shall vote on this matter at its next meeting. If approved despite the objection, the proposed Member shall be considered to be elected to membership.

64Method of Electing MembersRed Badge Procedures

Upon election, Members shall be considered probationary Red Badge Members for the six months following their induction. During the Red Badge period, the Member will be expected to comply with the Red Badge requirements. Upon completion of the Red Badge requirements and recommendation by the Red Badge Member’s sponsor and the Membership committee chair, the Red Badge Member’s name shall be presented to the Board to be accorded permanent, Blue Badge status. If after the initial six month Red Badge period, which may be extended to twelve months upon approval by the Membership chair, the Red Badge Member has not met the Red Badge policy requirements, the Member will be terminated, with no refund of initiation fee or dues. If all accounts are paid, the Member will be deemed to have left the Club in good standing.

362Method of Electing MembersInduction

Following the election, the President shall arrange for the new Member’s induction and new Member Rotary literature. In addition, the Secretary will report the new Member information to RI. The President-Elect will schedule the new Member’s participation in the “Red Badge Program”, which will include attendance at new Member classes designed to educate the inductee on Rotary International, as well as assimilate him/her to the workings of the Club. Upon completion of these classes, the new Member will be required to select a club project, committee and/or area of service to with which to volunteer!

65Method of Electing MembersRed Badge Requirements

To complete the Red Badge requirements, new Members must

  • Maintain at least 90% attendance including make-ups
  • Serve as a greeter or assist the Sergeant-at-Arms in four meetings, at least two of which must be assisting the Sergeant-at-Arms.
  • Bring a guest to a weekly meeting
  • Join a Buckhead Rotary committee and attend a committee meeting
  • Participate in a Buckhead Rotary service event and a Signature Project event
  • Attend one Club social event
  • Deliver Sunshine
  • Review the club website, update profile page, and add a headshot
  • Attend one club Board of Directors meeting
  • Deliver inspiration, 4-way Test and pledge of allegiance at one club meeting

In addition, new Members are strongly encouraged to become sustaining contributors to the causes the Club supports. The aforesaid requirements may be changed at any time or from time to time by the Board.

The Club may elect, in accordance with Rotary International’s Guide to Corporate Membership, “Model A” Corporate Members, if proposed by the Board.

67Method of Electing MembersTerminations

Members who fail to pay their dues according to these bylaws shall be subject to automatic termination. In addition the Board may terminate Members for good cause by a two-thirds majority vote, according to the procedures outlined in the standard Rotary Club constitution.

68AmendmentsRequirements

These bylaws may be amended at any regular meeting of the Board, a quorum being present, by a two-thirds vote of the entire Board, provided that notice of such proposed amendment shall have been communicated to each Member at least ten days before such meeting. This notice requirement can be waived by a vote equal to two thirds of the entire Board, not just two thirds of those present. No amendment or addition to these bylaws can be made which is not in harmony with the standard Rotary Club constitution and with the constitution and bylaws of RI or which is not permitted by non-profit corporations organized and existing under the laws of the State of Georgia.

146Method of Electing MembersEligibility

Adult persons of good character and good business and professional reputation are eligible for membership in the Rotary Club Coweta-Fayette. The name of a prospective member, proposed (sponsored) by an active member of the Club, shall be submitted to the Board in writing, through the Club Secretary. A transferring or former member of another Club may be proposed to active membership by the former Club. The Club membership chairperson may seek certification from the former Club that the former member was in good standing with that Club. The proposal shall be kept confidential except as otherwise provided in this procedure.

269AmendmentsPower to Amend Bylaws

The Board of Directors shall have the power to alter, amend, or repeal these bylaws or adopt new bylaws.

364ResolutionsResolutions

The Club shall not consider any resolution or motion to commit the Club on any matter until the Board has considered it. Such resolutions or motions, if offered at a Club meeting, shall be referred to the Board without discussion.

69AmendmentsEffective Date

Amendments to these bylaws become effective immediately, unless otherwise specified in the resolution adopting the amendment. Amendments shall be effective as fully as if they were written into the bylaws, and any portions of the pre-amendment bylaws in conflict with an amendment shall be void.

Action by the Board of Directors with respect to bylaws shall be taken by the affirmative vote of a majority of all directors then holding office.

70AmendmentsProcedures

All administrative decisions, policies, manual of procedure, practices, and similar documents, become void at the end of the Club year, unless specifically added to these bylaws. However, such documents are recommended to succeeding officers, Directors, and committee chairs as indicative of practices followed.

The Board shall approve or disapprove the proposal within 30 days of its submission, and shall notify the sponsor, through the Club Secretary, of its decision.

If the decision of the Board is favorable, the prospective member shall be informed of the purposes of Rotary and of the privileges and responsibilities of membership through a Rotary Information meeting. Following which the prospective member shall be requested to sign the membership proposal form and to permit his or her name and proposed classification to be published to the Club.

271Tax-Exempt StatusTax-Exempt Status

The affairs of the corporation at all times shall be conducted in such a manner as to assure its status as a "publicly supported" organization as defined in section 509(a)(1) or section 509(a)(2) or section 509(a)(3) of the Internal Revenue Code, and so in other ways to qualify for exemption from tax pursuant to section 501(c)(3) of the Internal Revenue Code.

272Tax-Exempt StatusDissolution

No part of the net earnings of the corporation shall inure to the benefit of, or be distributable to, its directors, or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of charitable, religious and educational purposes. Notwithstanding any other provision of these articles of incorporation, the corporation shall not carry on any other activities not permitted to be carried on by (a) a corporation exempt from federal income tax under Section 501(c)(3) of the Internal Revenue Code (or the corresponding provision of any future federal tax law), or (b) by a corporation, contributions to which are deductible under 26 U.S.C.A. ยง 170(c)(2) (or the corresponding provision of any future federal tax law).

Upon the dissolution or winding up of this corporation, its assets remaining after payment, or provision for payment, of all debts and liabilities of the corporation, shall be distributed to a nonprofit fund, foundation, or corporation that is organized and operated exclusively for religious or charitable purposes and which has established its tax exempt status under Section 501(c)(3) of the Internal Revenue Code of 1986, or corresponding provisions of any subsequent federal tax laws.

366AmendmentsAmendmends

These Bylaws may be amended at any regular meeting, a quorum being present, by a two-thirds vote of all Members present, provided that notice of such proposed amendment shall have been emailed to each Member at least ten (10) days before such meeting. No amendment or addition to these Bylaws can be made which is not in harmony with the standard Rotary Club Constitution and with the Constitution and Bylaws of RI.
